TERMS OF SERVICE
Welcome to Yenta (“Yenta,” “we,” “our,” or “us”).
Yenta is an AI-powered hospitality concierge that helps users discover curated venues, experiences, and events, and enables partner venues to connect with new guests.By accessing or using Yenta’s platform, chat services, or partner dashboard, you agree to these Terms of Service (“Terms”).
Please read them carefully. If you do not agree, do not use Yenta.
1. Who These Terms Apply To
These Terms govern two types of users:
- Chat Users (“Users”) — individuals using Yenta’s WhatsApp chat, web chat, or mobile interface to discover recommendations and experiences.
- Partners (“Venues” or “Partners”) — hospitality operators (restaurants, bars, hotels, etc.) who create or manage listings, promotions, or analytics through Yenta’s Partner Dashboard.
By using Yenta, you represent that you are at least 18 years old and have the legal authority to enter into this agreement.
2. Our Services
For Chat Users
Yenta provides:
- Curated AI recommendations for restaurants, lounges, and experiences.
- Discovery of venue details, menus, and events.
- Optional links to third-party booking, delivery, or ticketing services.
Yenta does not guarantee availability, pricing, or quality of any venue, product, or experience. All decisions made based on Yenta’s recommendations are at your discretion.
For Partners
Yenta provides:
- A dashboard to manage venue listings, images, menus, and experiences.
- Insights and analytics related to audience engagement.
- Visibility across Yenta’s AI recommendation network and marketing channels.
Partner accounts may be free or paid (“Partner Plans”), depending on the features and data access level.
3. Account Registration
- Users can access Yenta chat services without an account.
- Partners must register for an account, provide accurate business information, and maintain confidentiality of login credentials.
- You are responsible for all activity under your account. Notify us immediately if you suspect unauthorized access.
4. Use of Yenta
You agree to:
- Use Yenta only for lawful purposes.
- Not copy, distribute, or modify Yenta’s content or data without permission.
- Not attempt to interfere with, scrape, or reverse-engineer the platform or chat systems.
- Not upload or post misleading, false, or inappropriate content.
We may suspend or terminate access if you violate these Terms.
5. Partner Content and Rights
Partners may upload:
- Text, images, menus, and other media (“Partner Content”).
- Event or experience information.
You retain ownership of your content but grant Yenta a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and promote it across Yenta’s products, marketing materials, and AI interfaces.
You confirm you have the right to share any logos, photos, or materials you upload, and that they don’t infringe on third-party rights.
6. Data and Privacy
Your data is handled in accordance with our [Privacy Policy], which explains:
- How we collect and use data for recommendations and analytics.
- How partner and user information may appear in Yenta’s AI systems.
- Your rights under applicable data protection laws (including GDPR and UAE PDPL).
By using Yenta, you consent to our data practices.
7. Payments and Subscriptions (Partners Only)
- Certain Partner features require a paid subscription.
- Payments are processed securely via our payment provider (e.g., Stripe).
- All fees are non-refundable unless otherwise stated in writing.
- Plans auto-renew unless canceled at least 7 days before renewal.
- We may change pricing with prior notice; continued use after notice constitutes acceptance.
8. AI-Generated Content and Recommendations
Yenta’s chat and dashboard use AI-generated outputs. You understand that:
- AI responses may not always be accurate or up to date.
- Yenta’s recommendations are for informational and discovery purposes only.
- We disclaim liability for any decisions made or experiences booked based on AI output.
9. Third-Party Links and Services
Yenta may include links to third-party platforms (e.g., Google Maps, 7Rooms, Instagram).
We are not responsible for external sites, their content, or your interactions with them.
10. Venue Responsibility & Guest Conduct
Yenta acts solely as a discovery and connection platform.
We do not own, operate, or manage any venue, event, or experience featured on the platform or in chat recommendations.
You acknowledge and agree that:
- Yenta is not responsible for the conduct, actions, or omissions of any venue, its staff, or its guests.
- Yenta does not guarantee the safety, quality, service standards, legality, or availability of any venue, event, or experience.
- Any interaction, reservation, visit, or transaction between a user and a venue is made directly between those parties.
- Users and guests are responsible for their own behavior, decisions, and compliance with venue policies, laws, and social norms.
- Venues are responsible for maintaining a safe environment, lawful operation, and appropriate guest conduct within their premises.
Yenta disclaims all liability for any injury, loss, damage, dispute, or incident arising in connection with a venue visit or guest interaction, whether before, during, or after an experience.
11. Intellectual Property
All Yenta trademarks, logos, software, and systems are owned or licensed by Yenta Technologies Ltd.
You may not copy, reproduce, or use them without prior written permission.
12. Termination
We may suspend or terminate your access if:
- You breach these Terms.
- Your use threatens system integrity or other users.
- Required by law or regulatory order.
Partners may terminate their accounts via written notice or dashboard controls.
Upon termination, your content may be retained for compliance or analytics, but your account will no longer be active.
13. Disclaimers
Yenta is provided “as is” and “as available.”
We make no warranties of any kind—express or implied—about:
- Accuracy of AI recommendations,
- Availability or performance of venues,
- Suitability for a particular purpose.
You use Yenta at your own risk.
14. Limitation of Liability
To the maximum extent permitted by law:
- Yenta and its affiliates shall not be liable for any indirect, incidental, or consequential damages.
- Our total liability shall not exceed the total amount you paid to Yenta in the past 12 months (or USD $100 if none).
15. Indemnification
You agree to defend, indemnify, and hold harmless Yenta and its affiliates from any claims, damages, or expenses arising from:
- Your use of Yenta,
- Your content, or
- Your breach of these Terms.
16. Modifications
We may update these Terms periodically.
We’ll notify you of material changes by posting the updated Terms and updating the “Effective Date.”
Continued use constitutes acceptance of the new Terms.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Dubai International Financial Centre (DIFC).
Any disputes shall be resolved exclusively in the DIFC Courts.
